SaaS Agreement / Terms of Service

1. Agreement to Terms

This Software-as-a-Service Agreement ("Agreement") is a legally binding contract between Ruchiq ("we", "our", "us", or "Ruchiq") and the restaurant business entity ("you", "your", or "Client") subscribing to our services. By creating an account or using our platform, you accept these terms in full.

2. Service Description

Ruchiq provides AI-powered restaurant order management software delivered as a cloud-based service. Our platform includes:

  • AI-powered order intake via phone calls, WhatsApp, and Instagram Direct Messages
  • Real-time order dashboard and management interface
  • Menu management and pricing controls
  • Payment link generation and transaction tracking
  • GST-compliant invoicing and financial reporting
  • Delivery partner integrations (Shadowfax, Dunzo, Movers)
  • Customer notification system (SMS, email, WhatsApp)
  • Analytics and business insights dashboard
  • Team member access and role management

Important: Ruchiq is solely a software provider. We do not process food orders, handle food preparation, manage food delivery, or act as a payment processor. All restaurant operations, food quality, customer service, and fulfillment remain your sole responsibility.

3. Subscription Plans and Pricing

Ruchiq offers three subscription tiers. All prices are in Indian Rupees (INR) and exclude 18% GST unless otherwise stated:

Basic Plan: ₹1,499/month + GST
  • Manual order entry only (no AI automation)
  • Unlimited manual orders
  • Payment link generation and basic invoicing
  • 1 user account
Pro Plan: ₹4,499/month + GST
  • Up to 250 AI-processed orders per month (phone, WhatsApp, Instagram)
  • All Basic plan features plus AI automation
  • Menu management with GST/HSN codes
  • GST invoicing and E-invoicing
  • 3 user accounts
  • ₹10 per order for AI orders exceeding 250/month (overage fee)
Premium Plan: ₹8,999/month + GST
  • Up to 750 AI-processed orders per month
  • All Pro plan features
  • Delivery partner integrations (Shadowfax, Dunzo, Movers)
  • Advanced sales analytics (order trends, revenue forecasting)
  • 5 user accounts
  • Priority support
  • ₹8 per order for AI orders exceeding 750/month (reduced overage fee)

Trial Period: New accounts receive a free trial of 14 days OR 100 AI orders (whichever comes first) to evaluate the platform after admin approval. No credit card required for trial. After trial expiration, subscription payment is required to continue service.

4. Billing and Payment Terms

  • Billing Cycle: Subscriptions are billed monthly in advance on the date you upgrade from trial or your monthly renewal date.
  • Auto-Renewal: Subscriptions automatically renew each month unless cancelled at least 24 hours before the renewal date.
  • Payment Methods: We accept payments via Razorpay (UPI, cards, net banking, wallets).
  • GST: 18% GST is added to all subscription fees. GST-compliant invoices are generated automatically.
  • Overage Billing: AI orders exceeding your tier limit are billed at the end of each month at ₹10/order for Pro tier or ₹8/order for Premium tier.
  • Non-Payment: Failure to pay subscription fees will result in account suspension within 7 days. Accounts suspended for 30+ days may be terminated and data deleted.
  • Refund Policy: Subscription fees are non-refundable. Pro-rata refunds may be provided at our sole discretion in exceptional circumstances.

5. Service Level Agreement (SLA)

Uptime Commitment: Ruchiq guarantees 99.5% platform uptime on a monthly basis, excluding scheduled maintenance.

Scheduled Maintenance: We may perform maintenance during low-traffic hours (typically 2 AM - 4 AM IST) with 48-hour advance notice.

Service Credits: If uptime falls below 99.5%, you may be eligible for service credits equal to 10% of monthly subscription fees per 1% downtime below the SLA threshold. Credits must be claimed within 30 days.

Support Response Times: Basic/Pro plans receive support responses within 24 business hours. Premium plan receives priority support within 4 business hours.

6. Subscription and Billing

Ruchiq operates on a subscription model with monthly billing. Subscription fees are charged in advance and are non-refundable. We accept payments via bank transfer or online payment methods. All prices are in Indian Rupees (INR) and include 18% GST. You may upgrade, downgrade, or cancel your subscription at any time from your account settings.

7. AI Usage Limits and Acceptable Use

Each subscription tier includes a specific monthly limit for AI-processed orders (phone, WhatsApp, Instagram):

  • Basic tier: Manual entry only (no AI automation)
  • Pro tier: Up to 250 AI orders per month (₹10/order overage)
  • Premium tier: Up to 750 AI orders per month (₹8/order overage)

Abuse Prevention: You agree not to:

  • Use automated scripts or bots to artificially inflate order volumes
  • Share login credentials with unauthorized parties
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the platform for illegal activities or fraudulent transactions
  • Spam customers with excessive notifications

Violation of acceptable use policies may result in immediate account suspension or termination.

8. Third-Party Integrations

Ruchiq integrates with third-party services including payment processors (Razorpay), delivery partners (Shadowfax, Dunzo, Movers), and communication platforms (Twilio, WhatsApp, Instagram). You are responsible for maintaining accounts and API credentials with these services. We are not liable for service interruptions, pricing changes, or terms modifications by third-party providers.

9. Payments and Pricing

Payment transactions for food orders occur directly between customers and restaurants through integrated payment processors. Ruchiq facilitates payment link generation but does not process payments directly. Restaurants set their own prices and manage their payment settings. Monthly subscription fees to Ruchiq are separate and charged according to your chosen tier.

10. Using Ruchiq as an App

You can install Ruchiq as an app on your phone for a better experience. Here's what you should know:

  • The installed app and mobile browser are separate - you can use different accounts in each
  • Some information is saved on your phone for faster access and offline use
  • The installed app keeps you signed in until you choose to sign out in Settings
  • In your browser, signing out of one tab signs you out everywhere for security
  • You're responsible for keeping your phone secure and protecting your account
  • If your phone is lost or stolen, contact us immediately at support@ruchiq.com to secure your account

11. Limitation of Liability

Software Provider Only: Ruchiq provides software tools for restaurant management. We are NOT responsible for:

  • Food quality, safety, or preparation
  • Order fulfillment and delivery
  • Customer satisfaction or complaints
  • Payment processing failures (handled by Razorpay)
  • Delivery partner service issues
  • Third-party integration downtime or changes
  • Business losses due to incorrect pricing or menu information
  • Compliance with local food safety and business regulations (your responsibility)

Maximum Liability: Our total liability for any claims arising from this Agreement is limited to the total subscription fees paid by you in the 12 months preceding the claim.

No Consequential Damages: We are not liable for indirect, incidental, special, or consequential damages including lost profits, business interruption, or reputational harm.

12. Indemnification

You agree to indemnify and hold harmless Ruchiq, its affiliates, directors, officers, employees, and agents from any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or related to your use of the platform or any violation of this Agreement.

13. Termination

Either party may terminate this Agreement at any time with 30 days written notice. Upon termination, you will lose access to the platform and all data may be deleted after 30 days.

14. Governing Law and Jurisdiction

This Agreement is governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Chennai, Tamil Nadu, India. Both parties agree to resolve disputes through good faith negotiation before pursuing legal action.

15. Privacy and Data Protection

Your use of Ruchiq is subject to our Privacy Policy, which complies with India's Digital Personal Data Protection Act (DPDP Act) 2023. The Privacy Policy is incorporated into this Agreement by reference. View our Privacy Policy at ruchiq.com/privacy.

16. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, understandings, and representations.
