Welcome to the Ruchiq platform and/or any and/or all associated mobile application(s) (the "Platform"). Ruchiq ("we" or "us" or "our"), a business-to-business (B2B) Software-as-a-Service provider, provides this Platform to restaurant owners and food businesses ("you" or "your" or "Client") subject to the conditions contained herein. Please read these Terms of Use carefully. By visiting the Platform or creating an account, you signify your agreement to be bound by these conditions. In addition, when you use any current or future Ruchiq service or feature, you also will be subject to the guidelines, terms and agreements applicable to such service or feature.
These Terms of Use constitute an electronic record within the meaning of the applicable law. This electronic record is generated by a computer system and does not require any physical or digital signatures.
Ruchiq is a B2B SaaS platform that provides software-as-a-service to restaurant owners (Business-to-Business). Restaurant owners use Ruchiq to facilitate B2C transactions with their end customers (selling food to consumers). Ruchiq provides order management, customer relationship management, and logistics integration tools.
Ruchiq is NOT:
Merchant-First Delivery: Ruchiq is an ordering platform. All delivery logistics, including the choice of riders (in-house or third-party like Rapido/Porter/Borzo), booking management, and fulfillment, are the sole responsibility of the Merchant. Ruchiq provides tools to facilitate address sharing but is never a party to the delivery contract.
Your Sole Responsibility: As the business owner, you are solely responsible for all sales, transactions, fulfillment, delivery of goods, customer service, food quality, food safety, and compliance with all applicable laws and regulations including but not limited to FSSAI (Food Safety and Standards Authority of India), GST (Goods and Services Tax), e-invoicing/IRP laws, consumer protection laws, and any other local, state, or national regulations applicable to your business operations.
B2C Transaction Nature: Since restaurant owners use Ruchiq to sell food to end consumers (B2C transactions), e-invoicing/IRP is not required. E-invoicing/IRP is only mandated for B2B transactions where the seller has an annual turnover exceeding ₹5 Crores. Ruchiq generates standard GST-compliant invoices for all consumer food orders, which satisfies B2C compliance requirements.

Important: Ruchiq is solely a software provider. We do not process food orders, handle food preparation, manage food delivery, or act as a payment processor. All restaurant operations, food quality, customer service, and fulfillment remain your sole responsibility.
Note: The subscription plans and pricing details below apply after the Early Access Beta phase ends. During Early Access, all features are completely free. Once Early Access concludes, restaurants will have a 30-day grace period before billing begins, giving you time to set up integrations and prepare for paid features.
Ruchiq offers three subscription tiers. All prices are in Indian Rupees (INR) and exclude GST unless otherwise stated:
All subscription fees and overage costs are subject to annual review and adjustment. Price adjustments reflect economic inflation, infrastructure costs, and platform improvements. We will provide at least 90 days advance notice of any pricing changes via email and in-app notifications. Adjustments are transparent and linked to the value delivered as your business grows. Grace Period: After the Early Access Beta phase ends, restaurants receive a 30-day grace period where all features remain free. This gives you time to set up Payment Gateway and Shiprocket integrations and prepare for billing. After the grace period, subscription charges apply based on your selected plan. No credit card is required during Early Access or the grace period.
Note: The billing and subscription details below apply after Early Access Beta ends. During the Early Access phase, all features are completely free with no charges.
Uptime Commitment: Ruchiq uses commercially reasonable efforts to maintain 99.5% platform uptime on a monthly basis, excluding scheduled maintenance.
Scheduled Maintenance: We may perform maintenance during low-traffic hours (typically 2 AM - 4 AM IST) with 48-hour advance notice.
Support: We provide email support during business hours. We strive to respond to all inquiries within 24 business hours.
This section applies after Early Access Beta ends. Ruchiq operates on a subscription model with monthly billing. Subscription fees are charged in advance and are non-refundable. We accept payments via online payment methods only. All prices are in Indian Rupees (INR) and exclude GST. You may upgrade, downgrade, or cancel your subscription at any time from your account settings.

Each subscription tier includes specific monthly limits for both Digital Orders (via Progressive Web App) and Manual Orders (orders entered by restaurant staff). Orders exceeding these limits will incur overage charges as detailed below:
Overage Billing: Overage charges are calculated at the end of each billing cycle and added to your next invoice. You will receive notifications when approaching your order limits to help you manage usage effectively.
New accounts receive complimentary AI Assistant scanning credits. Each credit allows you to extract details from one page of a document (e.g., menu, signboard, or government certificate). Our AI is optimized for complex menu structures including Combos, Meals, and value bundles. While we strive for high accuracy, the Merchant is solely responsible for reviewing all extracted items, item types (single vs. combo), and prices before publishing them to the live storefront. Additional credits can be purchased or requested via support. Ruchiq reserves the right to limit or revoke credits in cases of suspected abuse.
Abuse Prevention: You agree not to:
Violation of acceptable use policies may result in immediate account suspension or termination.
FSSAI License Verification: A valid FSSAI license is mandatory for all food businesses on Ruchiq. During onboarding, we automatically verify your FSSAI license in real-time using trusted government data APIs. You must maintain a valid license with at least 30 days of validity remaining on your profile. Our system continuously monitors expiry dates. Failure to renew your license will result in automatic blocking of your storefront until a valid license is provided.
Suspension & Termination: Ruchiq reserves the right to suspend or terminate accounts that violate these Terms, engage in abusive behavior, or fail to comply with legal requirements. In cases of severe abuse (e.g., data scraping, fraud), we may issue legal notices (Cease & Desist) and permanently ban associated entities.
Data Deletion: In cases of termination due to abuse, Ruchiq reserves the right to immediately delete all data associated with the offending account, including extracted menus and customer logs.
To comply with legal and auditing standards, Ruchiq retains critical business records for a period of 9 years. This includes:
This data is immutable and maintained to protect both you and your customers in case of disputes or tax audits. To maintain the highest standards of consumer privacy, Ruchiq implements tiered data visibility: while the raw data remains in our audit logs for legal compliance, it is automatically redacted/scrubbed in your daily dashboard views and operational CSV exports for any customers who have been inactive at your restaurant for more than 90 days.
You retain ownership of your business data and customer relationships. However, by using the Service, you grant Ruchiq a non-exclusive, worldwide, royalty-free license to use, copy, store, transmit, and display your data to provide the Service, improve our platform, and for internal analytics. Ruchiq may also use aggregated, anonymized data for benchmarking and marketing purposes.
Ruchiq integrates with third-party services to deliver full functionality:
You acknowledge that these third parties have their own terms of service and privacy policies. Ruchiq is not responsible for their actions or service interruptions.
By using the Ruchiq platform, you acknowledge that your restaurant profile may be listed in our public directory. Ruchiq operates solely as a directory of independent businesses and is not a party to any actual sales transactions, delivery, or quality control processes. All transactions are direct between the restaurant and the consumer.
Vetting Process: To ensure the legitimacy and compliance of businesses listed in our directory, Ruchiq employs a strict internal verification process. This includes mandatory FSSAI license checks and admin approval before any business can go live. This vetting process serves as our primary measure to mitigate liability and ensure platform safety.
For consumer orders placed via the PWA (accessed via QR code or installed app), during the MVP phase payment is collected via Manual UPI sent directly to you. Ruchiq does not hold or control these funds. When automated payment processing becomes available, payments will be processed through your connected payment gateway, and Ruchiq will still not hold or control these funds.
Software Provider Only: Ruchiq provides software tools for restaurant management. We are NOT responsible for:
Ruchiq Agent Network & Code of Conduct: Ruchiq may engage independent partners ("Ruchiq Agents") to assist with merchant recruitment and onboarding. While we vet our agents, they are independent contractors and not employees of Ruchiq.
Maximum Liability: Our total liability for any claims arising from this Agreement is limited to the total subscription fees paid by you in the 1 month preceding the claim.
No Consequential Damages: We are not liable for indirect, incidental, special, or consequential damages including lost profits, business interruption, or reputational harm.
You agree to indemnify and hold harmless Ruchiq, its affiliates, directors, officers, employees, and agents from any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or related to your use of the platform or any violation of this Agreement.
To protect user privacy and prevent identity theft via recycled phone numbers (a common occurrence in India), Ruchiq enforces strict inactivity policies:
Either party may terminate this Agreement at any time with 30 days written notice. Upon termination, you will lose access to the platform dashboard and operational tools. However, pursuant to Section 10 (Data Retention & Audit) and statutory tax laws in India, Ruchiq will maintain critical business records and transaction data for a period of 9 years for audit purposes. Non-essential data may be deleted 30 days after termination.
This Agreement shall be governed by the laws of India. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of courts in Chennai, Tamil Nadu, India.
Your use of Ruchiq is subject to our Privacy Policy, which complies with India's Digital Personal Data Protection Act (DPDP Act) 2023. The Privacy Policy is incorporated into this Agreement by reference. View our Privacy Policy at ruchiq.com/privacy.
By using Ruchiq, you and your customers explicitly consent to receive transactional and operational communications from us via the primary communication channels, which include:
You are responsible for obtaining appropriate consent from your customers for these communications in accordance with applicable laws.
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, understandings, and representations.
