SaaS Agreement / Terms of Service

1. Agreement to Terms

Welcome to the Ruchiq platform and/or any and/or all associated mobile application(s) (the "Platform"). Ruchiq ("we" or "us" or "our"), a business-to-business (B2B) Software-as-a-Service provider, provides this Platform to restaurant owners and food businesses ("you" or "your" or "Client") subject to the conditions contained herein. Please read these Terms of Use carefully. By visiting the Platform or creating an account, you signify your agreement to be bound by these conditions. In addition, when you use any current or future Ruchiq service or feature, you also will be subject to the guidelines, terms and agreements applicable to such service or feature.

These Terms of Use constitute an electronic record within the meaning of the applicable law. This electronic record is generated by a computer system and does not require any physical or digital signatures.

2. Software Provider Disclaimer

Ruchiq is a B2B SaaS platform that provides software-as-a-service to restaurant owners (Business-to-Business). Restaurant owners use Ruchiq to facilitate B2C transactions with their end customers (selling food to consumers). Ruchiq provides order management, customer relationship management, and logistics integration tools.

Ruchiq is NOT:

  • A seller or e-commerce platform
  • A logistics provider or delivery service
  • A payment processor or financial institution
  • A food aggregator or marketplace

Your Sole Responsibility: As the business owner, you are solely responsible for all sales, transactions, fulfillment, delivery of goods, customer service, food quality, food safety, and compliance with all applicable laws and regulations including but not limited to FSSAI (Food Safety and Standards Authority of India), GST (Goods and Services Tax), e-invoicing/IRP laws, consumer protection laws, and any other local, state, or national regulations applicable to your business operations.

B2C Transaction Nature: Since restaurant owners use Ruchiq to sell food to end consumers (B2C transactions), e-invoicing/IRP is not required. E-invoicing/IRP is only mandated for B2B transactions where the seller has an annual turnover exceeding ₹5 Crores. Ruchiq generates standard GST-compliant invoices for all consumer food orders, which satisfies B2C compliance requirements.

3. Service Description

Ruchiq provides direct digital order management software delivered as a cloud-based service. Our platform includes:

  • WhatsApp Automation for enhanced customer discovery
  • Consumer PWA (Progressive Web App) for direct online ordering - phone verification only, no email required
  • Near real-time order dashboard and management interface
  • Menu management and pricing controls
  • Manual UPI payment support (automated payment processing coming soon)
  • Self-Delivery and Pickup fulfillment (3PL integrations coming soon)
  • GST-compliant invoicing and financial reporting
  • Customer and staff notification system via WhatsApp
  • Analytics and business insights dashboard
  • Team member access and role management with WhatsApp OTP authentication
  • QR code generation for direct PWA access

Important: Ruchiq is solely a software provider. We do not process food orders, handle food preparation, manage food delivery, or act as a payment processor. All restaurant operations, food quality, customer service, and fulfillment remain your sole responsibility.

4. Subscription Plans and Pricing

Note: The subscription plans and pricing details below apply after the Early Access Beta phase ends. During Early Access, all features are completely free. Once Early Access concludes, restaurants will have a 30-day grace period before billing begins, giving you time to set up integrations and prepare for paid features.

Ruchiq offers three subscription tiers. All prices are in Indian Rupees (INR) and exclude GST unless otherwise stated:

Annual Pricing Reviews

All subscription fees and overage costs are subject to annual review and adjustment. Price adjustments reflect economic inflation, infrastructure costs, and platform improvements. We will provide at least 90 days advance notice of any pricing changes via email and in-app notifications. Adjustments are transparent and linked to the value delivered as your business grows. Basic Plan: ₹999/month + GST
  • Up to 125 Digital Orders (Progressive Web App) per month (₹10/order overage)
  • 50 manual orders/month (₹7/order overage)
  • Payment gateway integration and GST-compliant invoicing
  • 3 user accounts
Pro Plan: ₹1,999/month + GST
  • All Basic features included
  • Up to 375 Digital Orders (Progressive Web App) per month (₹9/order overage)
  • 100 manual orders/month (₹6/order overage)
  • 5 user accounts
Growth Plan: ₹2,499/location/month + GST
  • All Pro plan features
  • Up to 375 Digital Orders (Progressive Web App) per location per month (₹9/order overage)
  • 100 manual orders/location/month (₹6/order overage)
  • Centralized Command Center & Unified Analytics
  • Shared menu across locations
  • 5 user accounts per location

Grace Period: After the Early Access Beta phase ends, restaurants receive a 30-day grace period where all features remain free. This gives you time to set up Razorpay and Shiprocket integrations and prepare for billing. After the grace period, subscription charges apply based on your selected plan. No credit card is required during Early Access or the grace period.

Note: The billing and subscription details below apply after Early Access Beta ends. During the Early Access phase, all features are completely free with no charges.

5. Billing and Payment Terms

  • Billing Cycle: Subscriptions are billed monthly in advance on the date you upgrade from trial or your monthly renewal date.
  • Renewal & Payments: Subscriptions are due for renewal monthly. We do not support auto-debit. You must manually initiate payment for each renewal cycle via the Ruchiq dashboard. Failure to pay within the grace period will result in service suspension.
  • Payment Methods: During Early Access, we accept payments via manual UPI transfers. Razorpay payment integration is currently disabled during Early Access and will be enabled for all businesses after Early Access ends, following a brief approval verification process.
  • GST: GST is added to all subscription fees. GST-compliant invoices are generated automatically.
  • High Water Mark Billing (Growth Tier): For multi-location plans, you are billed based on the maximum number of active locations during your billing cycle. If you add a location mid-cycle, your bill for that month will reflect the new total count. Deactivating a location does not reduce the bill for the current cycle; the reduction applies to the next billing cycle.
  • Overage Billing: Digital Orders (Progressive Web App) exceeding your tier limit are billed at the end of each month at ₹10/order (Basic tier) or ₹9/order (Pro/Growth tier). Manual orders exceeding limits are billed at ₹7/order (Basic) or ₹6/order (Pro/Growth).
  • Non-Payment: Failure to pay subscription fees will result in account suspension within 7 days. Accounts suspended for 30+ days may be terminated and data deleted.
  • Refund Policy: Subscription fees are non-refundable. Pro-rata refunds may be provided at our sole discretion in exceptional circumstances.

6. Service Level Agreement (SLA)

Uptime Commitment: Ruchiq uses commercially reasonable efforts to maintain 99.5% platform uptime on a monthly basis, excluding scheduled maintenance.

Scheduled Maintenance: We may perform maintenance during low-traffic hours (typically 2 AM - 4 AM IST) with 48-hour advance notice.

Support: We provide email support during business hours. We strive to respond to all inquiries within 24 business hours.

7. Subscription and Billing

This section applies after Early Access Beta ends. Ruchiq operates on a subscription model with monthly billing. Subscription fees are charged in advance and are non-refundable. We accept payments via online payment methods only. All prices are in Indian Rupees (INR) and exclude GST. You may upgrade, downgrade, or cancel your subscription at any time from your account settings.

8. Subscription Limits & Overage Charges

Note: These subscription limits and overage charges apply after Early Access Beta ends.

Each subscription tier includes specific monthly limits for both Digital Orders (via Progressive Web App) and Manual Orders (orders entered by restaurant staff). Orders exceeding these limits will incur overage charges as detailed below:

Basic Tier

  • 125 Digital Orders per month (₹10/order overage)
  • 50 Manual Orders per month (₹7/order overage)

Pro Tier

  • 375 Digital Orders per month (₹9/order overage)
  • 100 Manual Orders per month (₹6/order overage)

Growth Tier

  • 375 Digital Orders per location per month (₹9/order overage)
  • 100 Manual Orders per location per month (₹6/order overage)

Overage Billing: Overage charges are calculated at the end of each billing cycle and added to your next invoice. You will receive notifications when approaching your order limits to help you manage usage effectively.

AI Menu Extraction Credits

New accounts receive 50 complimentary AI Menu Extraction credits. Each credit allows you to extract menu items from one page of a menu image or PDF. Additional credits can be purchased or requested via support. Ruchiq reserves the right to limit or revoke credits in cases of suspected abuse.

Abuse Prevention: You agree not to:

  • Use automated scripts or bots to artificially inflate order volumes
  • Share login credentials with unauthorized parties
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the platform for illegal activities or fraudulent transactions
  • Spam customers with excessive notifications
  • Attempt to bypass AI extraction limits or scrape data

Violation of acceptable use policies may result in immediate account suspension or termination.

9. Compliance & Enforcement

FSSAI License Verification: A valid FSSAI license is mandatory for all food businesses on Ruchiq. During onboarding, we automatically verify your FSSAI license in real-time using trusted government data APIs. You must maintain a valid license with at least 30 days of validity remaining on your profile. Our system continuously monitors expiry dates. Failure to renew your license will result in automatic blocking of your storefront until a valid license is provided.

Suspension & Termination: Ruchiq reserves the right to suspend or terminate accounts that violate these Terms, engage in abusive behavior, or fail to comply with legal requirements. In cases of severe abuse (e.g., data scraping, fraud), we may issue legal notices (Cease & Desist) and permanently ban associated entities.

Data Deletion: In cases of termination due to abuse, Ruchiq reserves the right to immediately delete all data associated with the offending account, including extracted menus and customer logs.

10. Data Retention & Audit

To comply with legal and auditing standards, Ruchiq retains critical business records for a period of 9 years. This includes:

  • Order history and transaction details
  • Immutable snapshots of menu items, prices, and applicable taxes tagged to every individual order
  • Snapshots of business details (Name, Address, GSTIN) at the time of each transaction
  • Policy versions active at the time of transaction
  • Tax configuration history

This data is immutable and maintained to protect both you and your customers in case of disputes or tax audits.

11. Data Ownership & License

You retain ownership of your business data and customer relationships. However, by using the Service, you grant Ruchiq a non-exclusive, worldwide, royalty-free license to use, copy, store, transmit, and display your data to provide the Service, improve our platform, and for internal analytics. Ruchiq may also use aggregated, anonymized data for benchmarking and marketing purposes.

12. Third-Party Integrations

Ruchiq integrates with third-party services to deliver full functionality:

  • Payment Processing: Manual UPI (MVP), Razorpay (Post MVP)
  • Logistics Partners: Self-Delivery/Pickup (MVP), Shiprocket (Post MVP - when available via OAuth)
  • Communication: Meta WhatsApp Business API (for primary notifications), Twilio (for SMS fallback)
  • Cloud Infrastructure: Vercel, Supabase, Upstash

You acknowledge that these third parties have their own terms of service and privacy policies. Ruchiq is not responsible for their actions or service interruptions.

13. Public Directory & Platform Transparency

By using the Ruchiq platform, you acknowledge that your restaurant profile may be listed in our public directory. Ruchiq operates solely as a directory of independent businesses and is not a party to any actual sales transactions, delivery, or quality control processes. All transactions are direct between the restaurant and the consumer.

Vetting Process: To ensure the legitimacy and compliance of businesses listed in our directory, Ruchiq employs a strict internal verification process. This includes mandatory FSSAI license checks and admin approval before any business can go live. This vetting process serves as our primary measure to mitigate liability and ensure platform safety.

14. Consumer-Facing Transactions

For consumer orders placed via the PWA (accessed via QR code or installed app), during the MVP phase payment is collected via Manual UPI sent directly to you. Ruchiq does not hold or control these funds. When automated payment processing becomes available, payments will be processed through your connected payment gateway (e.g., Razorpay), and Ruchiq will still not hold or control these funds.

15. Limitation of Liability

Software Provider Only: Ruchiq provides software tools for restaurant management. We are NOT responsible for:

  • Food quality, safety, or preparation
  • Order fulfillment and delivery
  • Customer satisfaction or complaints
  • Payment processing failures (handled by third-party gateways)
  • Third-party integration downtime or changes
  • Business losses due to incorrect pricing or menu information
  • Compliance with local food safety and business regulations (your responsibility)
  • Refund processing delays or disputes

Maximum Liability: Our total liability for any claims arising from this Agreement is limited to the total subscription fees paid by you in the 1 month preceding the claim.

No Consequential Damages: We are not liable for indirect, incidental, special, or consequential damages including lost profits, business interruption, or reputational harm.

16. Indemnification

You agree to indemnify and hold harmless Ruchiq, its affiliates, directors, officers, employees, and agents from any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or related to your use of the platform or any violation of this Agreement.

17. Termination

Either party may terminate this Agreement at any time with 30 days written notice. Upon termination, you will lose access to the platform and all data may be deleted after 30 days.

18. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of India. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of courts in Chennai, Tamil Nadu, India.

19. Privacy and Data Protection

Your use of Ruchiq is subject to our Privacy Policy, which complies with India's Digital Personal Data Protection Act (DPDP Act) 2023. The Privacy Policy is incorporated into this Agreement by reference. View our Privacy Policy at ruchiq.com/privacy.

20. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, understandings, and representations.
